We hereby irrevocable transfer all of our right under the above-mentioned credit to
The transferee (hereinafter called the "Second Beneficiary") shall have sole
rights as beneficiary under the credit, including all rights relating to any amend-
ment, whether increases or extensions or other amendments, and whether now
existing or hereafter made. The credit hereafter may be amended, extended or
increased, without our consent or notice to us and you will give notice thereof di-
rectly to the Second Beneficiary.
The original credit(including amendments to this date, if any) is returned
here with for your endorsement. We request you to notify the Second Benefi-
ciary in such form as you deem advisable of this transfer of the credit and of the
terms and conditions of the credit as transferred.
We agree to indemnify and hold you harmless against any and all losses, dam-
ages and expenses arising from your actions on this transfer.
